1. Agreement to these terms

These Terms of Use (“Terms”) are an agreement between you and ODVIKU (“ODVIKU,” “we,” “us”) and apply to odviku.com and the domains that redirect to it (the “Site”). By using the Site, you agree to these Terms and to our Privacy Policy. If you use the Site on behalf of a company, you agree to these Terms for that company. If you do not agree, do not use the Site.

2. The Site and our services

The Site provides general information about ODVIKU, our services and our products, including Homin, Viche and Tlumach. Nothing on the Site is an offer to enter into a contract or a guarantee of specific results.

Our consulting, development, implementation, licensing and support services are provided only under a separate written agreement, such as a master services agreement, statement of work or order form. If that agreement conflicts with these Terms, the agreement controls.

3. Product previews and examples

Product screens, company names, people, domains and data shown on the Site are illustrative examples. They do not describe real customers or real results, and features, availability and pricing may change without notice.

4. Acceptable use

You may use the Site only for lawful purposes. You agree not to:

• Try to gain unauthorized access to the Site, its servers or any related systems or networks
• Interfere with or disrupt the Site, including through viruses, overloading or denial-of-service attacks
• Probe, scan or test the vulnerability of the Site without our written permission
• Use bots, scrapers or other automated means to copy content from the Site, except for search engines that follow our robots.txt rules
• Use Site content to build a competing product or service, or to train machine learning or AI models, without our written permission
• Misrepresent your identity or your affiliation with any person or company when contacting us

5. Intellectual property

The Site and its content, including text, graphics, interface designs, logos and code, are owned by ODVIKU or its licensors and protected by intellectual property laws. ODVIKU, Homin, Viche, Tlumach and related names and logos are trademarks of ODVIKU. You may not use them without our prior written permission.

We grant you a limited, non-exclusive, non-transferable, revocable license to view and use the Site for your own business evaluation and personal reference. All rights not expressly granted are reserved.

6. Information you send us

Please do not send us confidential or sensitive information through the Site or by email before we have a written confidentiality agreement or services agreement in place. Personal information you send us is handled as described in our Privacy Policy.

If you send us ideas, suggestions or feedback, you agree that we may use them without restriction or compensation to you.

7. Third-party links

The Site may link to third-party websites or services that we do not control. We are not responsible for their content, policies or practices, and your use of them is at your own risk.

8. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure or error-free, or that its content is complete, accurate or current. Content on the Site is general information and is not legal, financial, technical or other professional advice.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ODVIKU AND ITS OWNERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US $100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify and hold harmless ODVIKU from any claims, damages, losses and expenses, including reasonable attorneys’ fees, arising out of your misuse of the Site or your violation of these Terms.

11. Governing law

These Terms are governed by the laws of the United States and of the state in which ODVIKU has its principal place of business, without regard to conflict-of-law rules. Any dispute relating to these Terms or the Site will be brought exclusively in the state or federal courts located in that state, and you consent to their jurisdiction.

12. Changes and termination

We may update these Terms from time to time by posting a new version on this page and changing the effective date above. Your continued use of the Site after changes are posted means you accept them. We may suspend or restrict access to the Site at any time.

13. General

If any part of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce any provision is not a waiver. These Terms, together with our Privacy Policy, are the entire agreement between you and ODVIKU about the Site.
